Your eligibility to participate in the LIX Exchange is determined solely by Hypersonic Laboratories, Inc. (the “Company”). The Company may modify these requirements at any time by updating these Add-On Terms. Your continued participation means an acceptance of the EULA and these Add-On Terms. To participate in the LIX Exchange, you must meet all the following minimum requirements (the “Add-On Eligibility Requirements”): 

1. Have at least 50,000 Creator LIX (defined below) in your account;

2. Be 13 years of age or older;

3. Have a HELIX-verified email address;

4. Have a valid HELIX Creator account;

5. Comply with all documentation and reporting requirements as described below; 

6. Be in compliance at all times with the EULA, these Add-On Terms and the HELIX Community Rules;

7. Have an IRS form W-9 (for U.S. taxpayers) or W-8 (for non-U.S. taxpayers) on file with the Company; and

8. Comply with the Ongoing Creator Obligations as described below. 

By participating on the LIX Exchange, you represent and warrant that all information you provide to the Company and Company’s third-party processors are accurate and complete. Any inappropriate use of HELIX, including but not limited to scamming, phishing, false advertising, or any deception of any type, attempting to exchange LIX for real currency outside of the LIX Exchange, and any illegal or unethical activities will automatically disqualify you from the LIX Exchange.

To participate in the LIX Exchange, you must meet the “Ongoing Creator Obligations,” which include on-going compliance with the EULA, the HELIX Community Rules, and any requests and instructions you receive from the Company. As part of this requirement, you must cooperate with and assist the Company on the following:

1. Address any technical and security risks and ensure your Creator Content complies with HELIX’s latest technical and security updates and best practices;

2. Comply with legal requirements, such as removing any Creator Content that has been accused of violating copyright laws; and

3. Promptly resolve any issues involving the EULA and Helix Community Rules.

Your payout amount is determined by the total amount of LIX earned by you through your Creator Content less any amounts previously paid out to you through the LIX Exchange. 

1. Creator LIX

“Creator LIX” are LIX you earn when you sell or otherwise monetize your Creator Content on the Services. LIX acquired in other ways, such as LIX obtained from a purchase of LIX, are not Creator LIX and are not eligible for Payout (as defined below). All Creator LIX must be earned in compliance with the EULA, these Add-On Terms and the HELIX Community Rules. 

2. Creator LIX

A “Payout” is an option to exchange Creator LIX for U.S. dollars at the “LIX Exchange Rate” set forth below. The Company may change this rate at any time by updating these Add-On Terms. All Payouts are subject to review by the Company and will be processed in accordance with the LIX Exchange Portal requirements (as described below in Section D). 

Upon your request to initiate a Payout, the Company will perform a detailed review of the activities on your HELIX account to confirm that your Creator LIX was earned by you in compliance with the EULA and HELIX Community Rules. This review may take three (3) to thirty  (30) business days. Additional time may be required If you satisfy all the LIX Exchange Eligibility Requirements, the Company will decide in its sole discretion whether to offer you a Payout pursuant to the terms herein. Generally, a Payout will consist of the total amount of Creator LIX you obtained over the lifetime of your account subtracted by all Creator LIX previously paid out to you through the LIX Exchange and any Creator LIX you spent within and on the Services. The following terms and limitations apply to Payouts:

a. The “LIX Exchange Rate” for Payout is $1 U.S. Dollars per 100 Creator LIX. 

b. The Company will charge a 30% fee on all Payouts (the “Platform Fee”), which will be automatically deducted from the total amount due to you upon a Payout. 

c. You must have a minimum of 10,000 Creator LIX in your account to be eligible for a Payout. 

d. You are not allowed to initiate a Payout more than once a month.

e. Eligibility for a Payout is reviewed after you submit a request for Payout. You are not guaranteed a Payout.

Tipalti is a third-party payment processor that the Company partners with to process the Payout transactions. The Company will review your information once you submit an LIX Exchange request. This review may take seven (7) to thirty (30) business days. If you are approved to proceed to the next step, you will be sent an invitation to set up an account on the LIX Exchange Portal (the “Portal”). You represent and warrant that all information you provide are correct and complete. If any information provided is incorrect, you must immediately notify the Company and Tipalti. You are responsible for any and all liability arising out of incorrect or incomplete information you provided to Tipalti and/or the Company. You acknowledge and agree that, at any time, Company may switch third party payment processors and/or perform these services itself. 

1. Portal Registration Requirements

a. Your HELIX Account must be at least thirty (30) days old to register for the Portal. Upon approval, you must provide your payment method and tax form within one (1) week of receiving the Portal registration link. Your Payout will not be processed if you do not complete your registration or verification information to Tipalti. Portal registration information may include: 

i. Name

i. Government issued identification

i. Date of birth

i. Address

i. Bank information

i. Any additional information as may be requested from time to time

Your information will be used in accordance with the terms of the Tipalti Services Agreement and the Tipalti Privacy Policy. 

b. The HELIX account owner should be the one whose name and information is on the LIX Exchange request, the Portal and tax form. The name on the bank account (if applicable) should also match the name on the Portal.

c. In addition to the above, your Account must be in good standing with the Company and not be banned or under suspension to participate in the Portal.

3. Payment Method on the Portal

Tipalti offers various payment methods, including ACH, eCheck, Paypal, checks, and wire transfers. Availability of certain payment methods may depend on your country. You can check the updated list at Tipalti’s Payment Methods Coverage. You should take into consideration the transaction fee and foreign exchange fee (FX fee) when selecting your payment method. Please be aware that we may not be able to remit payments to certain countries, entities, or individuals due to legal or other considerations. 

4. Fees and Exchange Rates

In addition to the Platform Fee charged by the Company, Tipalti may charge additional fees associated with the specific payment method you select. We are unable to change or refund any fees associated with your payment. 

If you require a currency conversion, a currency conversion fee will be included in the exchange rate. Exchange rates may fluctuate and are determined by Tipalti at the time it processes the conversion. Please see details under the Tipalti Services Agreement.

Transaction fees are assessed on each payment and will be deducted from any amounts that would otherwise be owed to you hereunder. The fees charged by Tipalti will vary depending on payment method chosen. Please see the Portal for more information regarding fee schedules. All fees charged by your bank (or by your bank’s intermediaries) will be your responsibility. 

5. Portal Payout Status

After your Payout payment is processed and your payment status shows “paid,” there is an additional processing time before you will receive your payment. This processing time varies by payment method and the country your payment is being sent to. The chart below provides estimated processing times by payment method:

You are personally responsible for any tax consequences resulting from a Payout. You must consult with your own tax advisor to determine your specific tax liability. Tax reporting requirements vary based on whether you are a U.S. person or non-U.S. person. According to the IRS, for U.S. federal tax purposes, a U.S. person includes, but is not limited to:

1. An individual who is a U.S. citizen or U.S. resident alien.

2. Entities, including but not limited to partnerships, corporations, limited liability companies organized in the U.S. or under the laws of the U.S.

3. Trusts or estates formed under the laws of the U.S.

More information may be found on the Internal Revenue Service (IRS) website. All U.S. persons who submit a Payout request will be required to submit a W-9 tax form during Portal account creation. The Company will submit the tax information to the IRS to validate the associated tax ID information. If the U.S. tax information does not exactly match IRS records, a Company agent will contact you to get further information through email. Please verify this information comes from [email protected] to avoid phishing and scam emails.

If your Payout is greater than $600, the Company will report your cash earnings to the IRS on Form 1099-NEC. These Forms will generally be issued on or before January 31 of the following year. All tax forms will be sent to the address provided on your W-9 and the email account associated with your Portal.

Non-U.S. Persons who submit a Payout request are required to submit a IRS W-8BEN (or other applicable IRS Form) tax form during Portal account creation to confirm that you are a non-U.S. person. A non-U.S. Person will generally not receive an annual tax form.

You will be requested to complete and submit your tax form directly on the Portal. Please do not email us your tax form or other sensitive personal information. Further instructions and information regarding your specific tax forms can be found on the IRS website - https://www.irs.gov/

In order to participate in the LIX Exchange, you further acknowledge and agree to the following:

1. Submitting your request for a Payout does not guarantee that you are eligible for a Payout. The Company, in its sole discretion, will determine whether you meet the LIX Exchange Eligibility Requirements and whether to provide a Payout.

2. The Company will assess the Platform Fee Payouts, which will be deducted from any amounts that would otherwise be owed to you hereunder. 

3. Additional fees, including transaction fees, may be charged by our Portal provider (Tipalti), and vary depending on the payment method you choose. Please see the Tipalti Services Agreement for information regarding its terms and applicable fees.

4. You must have an IRS form W-9 (for U.S. taxpayers) or W-8 (for non-U.S. taxpayers) on file with us. You understand that all payments made to U.S. Creators (other than for certain limited exceptions due to reporting requirements) will be reported to the IRS and to you using a form 1099. Payments made to non-U.S. Creators will not be reported to their home countries.

5. You are responsible for any taxes that may be owed due to a Payout. All Payouts will be considered payments for the services you have provided. All participants (whether you live in the US or elsewhere) are responsible for ensuring that all payments received are reported to the proper taxing authorities.

6. If you are a minor, you must have your parent or guardian’s consent prior to participation in the LIX Exchange and account creation in the Portal. Income that minors’ earn may impact the parent/guardians’ tax return. 

7. We are not able to remit payments to certain countries, entities, or individuals due to legal or other considerations. Check here to see if your country is on the list.

8. If your HELIX account is inactive (i.e. no authenticated sessions on the HELIX platform) for a period of two years or more, your account will be considered inactive and ineligible to participate in the LIX Exchange. You must re-apply in order to participate again.

9. The Company reserves the right to deny payment to any Creator that the Company determines, in its sole discretion, has violated the terms or the spirit of HELIX and the LIX Exchange, including but not limited to violations of the EULA, the Add-On Terms, and the HELIX Community Rules.

10. The Company reserves the right to modify, amend, or cancel the LIX Exchange, add, remove, or modify the LIX Exchange Eligibility Requirements, and change the LIX Exchange Rate for Payout and/or Platform Fee at any time and for any reason by updating the Add-On Terms. The Company has no obligation to continue the LIX Exchange in the future, and does not guarantee that any LIX can be exchanged in the future. You will be alerted to any material changes to the LIX Exchange Rate, and/or usage limits within 60 days before the entry into force of any applicable changes. Continued use and activity LIX and Account over 30 days after the entry into force of the applicable changes will constitute your acceptance of the changes. THE ONLY REMEDIES FOR NON-ACCEPTANCE OR NON-AGREEANCE WITH THE APPLICABLE CHANGES WOULD BE THE VOLUNTARY TERMINATION OF YOUR ACCOUNT OR THE VOLUNTARY DISCONTINUATION OF USE OF LIX. YOU FURTHER ACKNOWLEDGE AND AGREE THAT THE EXISTENCE OF THE LIX PROGRAM/LIX EXCHANGE TODAY IN NO WAY CREATES AN OBLIGATION FOR US TO CONTINUE THE PROGRAM OR LIX EXCHANGE IN THE FUTURE, NOR DOES IT GUARANTEE THAT LIX CAN BE USED IN THE FUTURE.

11. YOU ACKNOWLEDGE AND AGREE THAT YOU WILL NOT BE SENT REGULAR STATEMENTS REGARDING YOUR LIX BALANCE AND IT IS YOUR RESPONSIBILITY TO, AT ALL TIMES, KNOW YOUR LIX BALANCE. IT IS EXPRESSLY PROHIBITED TO USE LIX FOR ANY PURPOSE NOT OUTLINED HEREIN OR IN THE EULA INCLUDING, WITHOUT LIMITATION, TRADING, EXCHANGING, SELLING, OR OTHERWISE DISTRIBUTING LIX TO ANY OTHER USER OR THIRD PARTY “OFF-PLATFORM” EITHER PRIVATELY OR ON ANY THIRD PARTY EXCHANGE OR PLATFORM OR USING LIX TO SETTLE ANY PRIVATE DEBT OR TO PURCHASE ANY GOODS OR SERVICES ASIDE FROM THOSE THAT ARE OFFERED ON THE SERVICES. YOU ACKNOWLEDGE AND AGREE THAT YOUR BREACH OF THE FOREGOING SHALL CONSTITUTE A MATERIAL BREACH OF THESE ADD-ON TERMS AND WITHOUT WAIVING ANY OTHER RIGHTS OR REMEDIES AVAILABLE HEREIN OR AT APPLICABLE LAW, COMPANY MAY TAKE ACTION AGAINST YOU INCLUDING, WITHOUT LIMITATION THE TERMINATION OF YOUR ACCOUNT AND/OR YOUR PRIVILEGE TO USE THE SERVICES, WITHOUT REFUND. WE RESERVE THE RIGHT TO REFUSE ANY PURCHASE MADE VIA LIX IN THE EVENT WE HAVE A GOOD FAITH BELIEF THAT ANY USE OF LIX IS UNLAWFUL, FRAUDULENT, OR OTHERWISE VIOLATES THESE ADD-ON TERMS.

12. YOU ARE RESPONSIBLE FOR MAINTAINING THE SECURITY OF YOUR ACCOUNT AND ALL LIX THEREIN. COMPANY IS NOT RESPONSIBLE FOR THE THEFT OF LIX, THE UNAUTHORIZED USE THEREOF, OR THE UNAUTHORIZED ACCESS TO YOUR ACCOUNT.
